in other word one which does not require a license.

Basically you have bbMPEG, yMPEG, old versions of TMPGEnc (also current trial versions for 14 days) and libavbased encoders like ffmpeg, mencoder, quenc and ffdshow.
Moving this to the DVD forum, although I guess you could be converting to SVCD.

No what i wish to do is convert xvid to 3gp.

Well 3gp = a limited form of MPEG-4, so I guess depending on the settings used XviD is already compatible. Just select the appropriate profile (whatever that is) in the config and you shouldn't be able to enable anything that won't work, although you would still need to make sure that the res and framerate were ok.
Not sure if any of the free MP4 muxers can do compatible 3gp streams, also not sure if Quicktimes one works with the free non pro version of Quicktime. If it does then you can use the passthrough feature to simply remux the video rather than re-encoding.
I guess I will be moving this back to mpeg-4. When you say mpeg though people will assume MPEG1 or MPEG2, only assumed MPEG2 due to the remark about watermarks. Definatly was not thinking 3gp.

i've been using winavi. i guess since its the freeware, you get a big "winavi" across the screen. it converts the file in about an hour.

I am really confused now. WinAVI don't do 3gp.
